Terms and Conditions

1.Definitions

• User: person who registers on the Platform to access wellness support.
• Professional: person with a valid, verified license in mental health, nutrition, or physical health, who provides support through the Platform as an independent provider.
• Wellness team: the set of Professionals (one, two, or all three) a User has active at the same time.
• Areas: the three categories of support available — health professional (mental health), nutritionist, and physical health professional.

2.Nature of the Platform

Mind Fit Online is a technology platform that connects Users with independent, verified Professionals, and provides the scheduling, messaging, video call, credential verification, and payment processing channel. Mind Fit Online does not directly provide health services and is not a healthcare entity. Professionals are independent providers, not employees or agents of 377 Creative LLC, and are solely responsible for the practice of their discipline.

3.Eligibility and account

You must be at least 18 years old to create an account, unless you use the Platform under the verifiable consent of a parent or guardian where permitted by law. You are responsible for the accuracy of your information and the confidentiality of your credentials. Notify us immediately of any unauthorized use of your account.

4.Not an emergency service

If you are thinking about harming yourself, harming others, or believe you or someone else may be in danger, or in any medical emergency, call your local emergency number immediately. The Platform is not designed for crisis situations and Professionals cannot provide emergency assistance. This support does not replace court-ordered treatment, and does not include the issuance of official diagnoses or the prescription of medication.

5.Professional verification

Every Professional presents a valid license and proof of identity before they can see anyone, verified against the corresponding board or licensing entity. We use automated tools to support non-sensitive parts of that process, but the final decision to approve or reject a Professional is always made by a person on our team, never by an automated system alone.

6.Messaging and video calls

Messaging with your Professional happens inside the Platform. Each message is kept for seven days from when it's sent and is automatically deleted once that period is up, on a rolling basis. You can download a message before it's deleted. Video calls take place through the Platform and are never recorded, transcribed, or summarized automatically.

7.Subscription, payments, and cancellation

Access to each Area is contracted through a weekly subscription, with no minimum commitment, in US dollars. Current prices are shown on the Plans page before purchase. You can pause or cancel your subscription to any Area at any time from your profile; cancellation stops future charges. Charges already processed for a current week are non-refundable, unless applicable law in your jurisdiction requires otherwise.

Payments are processed through Stripe. Where Stripe is not available as a payment method in your country, we offer guided alternative rails inside the app (Zelle, Zinli, USDT, and PayPal), with reference confirmation. 377 Creative LLC is the merchant of record with these processors.

8.User conduct

You agree to use the Platform lawfully and respectfully. You may not impersonate others, compromise security, scrape data without authorization, harass Users or Professionals, or use the Platform for purposes other than intended. We may suspend or terminate accounts that breach this Agreement.

9.Intellectual property

The Platform, its software, design, trademarks, logos, and proprietary content are owned by 377 Creative LLC or its licensors. You are granted a limited, non-exclusive, revocable, non-transferable license for personal, non-commercial use.

10.Warranties and limitation of liability

To the maximum extent permitted by law, the Platform is provided "as is" and "as available," without warranties of any kind. 377 Creative LLC will not be liable for indirect, incidental, special, punitive, or consequential damages arising from support provided by an independent Professional. Our aggregate liability will not exceed the amount paid through the Platform in the twelve (12) months prior to the claim. Nothing in this Agreement limits non-waivable consumer rights.

11.Dispute resolution

We will attempt to resolve any dispute in good faith. For users in the US, disputes will preferably be resolved through individual, binding arbitration, with a waiver of class actions to the extent permitted by law. For users outside the US, mandatory consumer protection rules of their jurisdiction will prevail.

12.Governing law

This Agreement is governed by the laws of the State of Florida, USA, without prejudice to mandatory consumer protection and data protection rules of the User's country of residence, which will prevail where required by law.

13.Changes

We may modify this Agreement from time to time. We will notify you of significant changes through the Platform or by email, indicating the new effective date. Continued use after the effective date constitutes your acceptance.

15.Release, waiver of liability, and covenant not to sue

This covenant is established and perfected at the moment a User or Professional accepts these Terms and Conditions, and takes effect through the mere use of the Platform — no additional signature, separate formality, or further act is required. Electronic acceptance under this Agreement, and continued use of the Platform, constitute in themselves the manifestation of consent to this covenant.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, every User and every Professional, on their own behalf and on behalf of their heirs, representatives, successors, and assigns, irrevocably WAIVES, RELEASES, DISCHARGES, and covenants NOT TO SUE 377 Creative LLC, Mind Fit Online, and their directors, officers, employees, agents, contractors, and affiliates (collectively, the "Released Parties"), with respect to any claim, demand, action, cause of action, dispute, damage, loss, cost, or expense — including legal fees — present or future, known or unknown, foreseen or unforeseen, contractual, tortious, statutory, or of any other nature, arising out of, related to, or in any way connected with: (i) use of the Platform; (ii) support, advice, diagnosis, treatment, or any act or omission of an independent Professional; (iii) the relationship between the User and the Professional; or (iv) any interaction, transaction, or communication occurring through the Platform, regardless of the cause, legal theory, statutory basis, or party invoked.

This waiver constitutes a covenant not to sue and operates as an absolute defense against any action a User or Professional attempts to bring in breach of what is agreed here.
